HEMIDI TERMS OF SERVICE

This document sets out the application structure of the HEMIDI JOINT STOCK COMPANY ("Hemidi") Terms of Service framework.

In this document set, unless the context requires otherwise:

• "Service" means the websites, applications, APIs, workspaces, artificial intelligence features, automation features, community areas, partner marketplace, and related services provided by Hemidi;
• "Website" means the websites, landing pages, subdomains, microsites, documentation pages, marketing pages, and other web resources operated or controlled by Hemidi;
• "Commercial Service" means a Service that references Hemidi's commercial terms or that is provided to organizations, enterprises, teams, administrators, or developers in a non-personal consumer context;
• "Applicable Documentation" means the terms, policies, appendices, order forms, commercial documentation, product documentation, or official notices published by Hemidi or validly incorporated for the relevant Service.

Hemidi applies its terms framework through the following document layers:

• HEMIDI CONSUMER TERMS OF SERVICE applies to individuals or Users who have not entered into a separate enterprise contract with Hemidi.
• HEMIDI COMMERCIAL TERMS OF SERVICE applies to organizations, enterprises, teams, application programming interfaces (APIs), admin dashboards, admin workspaces, or other Hemidi services that reference the commercial terms.
• HEMIDI SERVICE-SPECIFIC TERMS sets out supplementary terms applicable to specific services or feature groups.

Depending on the use case, Hemidi may also apply the following supplementary documents, provided that such documents have been published by Hemidi as official versions or have been validly signed or accepted by the parties within the corresponding scope of application:

• HEMIDI ARTIFICIAL INTELLIGENCE POLICY
• HEMIDI REFUND AND CANCELLATION POLICY
• HEMIDI PUBLIC CONTENT AND PARTNER MARKETPLACE POLICY
• HEMIDI PARTNER AND PARTNER MARKETPLACE TERMS

Unless otherwise specified by Hemidi in writing, the order of precedence among the documents is as follows:

1. any contract, appendix, or separate agreement validly executed with Hemidi;
2. any order form, quotation, commercial appendix, or transaction document approved by Hemidi;
3. service-specific terms;
4. the Commercial Terms of Service or Consumer Terms of Service, depending on the applicable party;
5. the data processing addendum, subprocessor and data transfer appendix, service level agreement, API and developer platform terms, credit and billing unit terms, or equivalent supplementary documentation;
6. the privacy policy, cookie policy, acceptable use policy, artificial intelligence policy, refund and cancellation policy, public content and partner marketplace policy, or equivalent general policies;
7. the Website Terms of Use and other general documents.

For matters relating to personal data, data protection, data retention, cookies, public content, acceptable use obligations, AI governance, developer obligations, data transfers, or User-posted content, the documentation specifically applicable to that subject shall prevail to the extent applicable to such subject. For enterprise customers that have a DPA, SLA, order form, commercial appendix, or separate agreement, those documents may govern in greater detail the scope applicable to each Service or service package.
