HEMIDI API AND DEVELOPER PLATFORM TERMS

1. Scope of Application

These Terms apply to all individuals, organizations, developers, integration partners, or customers using the application programming interfaces (APIs), SDKs, webhooks, access keys, endpoints, developer tools, sandboxes, preview environments, technical documentation, or developer-facing automation features of HEMIDI JOINT STOCK COMPANY ("Hemidi"), including where such tools permit connection to third-party AI services selected by the User or customer.

These Terms shall be read together with the applicable Terms of Service, the service-specific terms, the Acceptable Use Policy, the Privacy Policy, the Artificial Intelligence Policy, the Credit and Billing Unit Terms, the technical documentation, and the applicable commercial documentation. In the event of any conflict, the transaction documentation, commercial documentation, or documentation specifically applicable to the relevant product shall prevail to the extent of such conflict.

2. Access and Access Keys

Hemidi may grant you API keys, credentials, access tokens, test keys, administrative keys, or similar mechanisms to access the developer services.

You must:

  • safeguard your access keys, credentials, and environment secrets;
  • not unauthorizedly share, disclose publicly, or embed access keys in a manner that may lead to abuse;
  • be responsible for all requests, calls, transactions, or operations arising through access keys, organizations, environments, or systems under your control;
  • notify Hemidi immediately if there are reasonable grounds to believe that an access key or integration environment has been exposed, compromised, or used without authorization.

3. Permitted Use

You may use Hemidi's APIs and developer platform only:

  • within the scope of the technical documentation, quotas, rate limits, configurations, and service plans published or approved by Hemidi;
  • for lawful and safe purposes and in accordance with the applicable documentation;
  • in a manner that does not unreasonably affect the safety, stability, integrity, or ability to provide the Service to other Users.

4. Prohibited Conduct

You must not:

  • circumvent or attempt to circumvent Hemidi's quotas, rate limits, safety controls, logging mechanisms, authentication mechanisms, or other technical controls;
  • benchmark, scan, collect system signals, reproduce orchestration behavior, extract technical logic, or observe Hemidi's system behavior in a manner intended to build directly competing services or models contrary to the applicable documentation;
  • use the API to distribute spam, carry out abusive bulk requests, automated attacks, account compromise, or unauthorized intrusion;
  • deploy workflows, agents, or automated integrations without monitoring, emergency stop, disablement, or limitation mechanisms appropriate to the risk level of the use case;
  • use Hemidi's non-public documentation, data, outputs, or behavior to train, fine-tune, or improve competing artificial intelligence models or products without Hemidi's prior written consent.

5. Obligations for Automated Workflows and AI-Enabled Integrations

If you use APIs, webhooks, SDKs, agents, or automated workflows to deploy functionality on behalf of end users or end customers, you must:

  • maintain reasonable monitoring of system behavior;
  • implement stopping, disabling, or limiting mechanisms upon detection of looping errors, unintended dissemination, output deviations, or abnormal behavior;
  • provide appropriate disclosure to end users if an artificial intelligence system or automated workflow is taking actions, sending content, or making recommendations on their behalf where the relevant use case requires such disclosure;
  • ensure that human review is applied for high-risk use cases, sensitive use cases, or use cases where law or your internal procedures require it.

6. Versioning, Deprecation, and Technical Changes

Hemidi reserves the right to change, replace, limit, discontinue support for, or withdraw APIs, endpoints, response schemas, bindings to third-party AI services, SDKs, automation features, technical parameters, authentication mechanisms, rate limits, or developer resources in accordance with the versioning policy or notice mechanism applicable to the relevant product.

For ordinary changes that may materially adversely affect compatibility or integration, Hemidi will seek to publish official notice on the product documentation page, administrative dashboard, technical notice channel, or another official channel and provide a reasonable adjustment period, unless the applicable documentation provides for a different period.

For urgent changes made for security, anti-abuse, system safety maintenance, legal requirements, or requirements of competent authorities, Hemidi may implement the change immediately or within a shorter period.

7. Sandbox, Preview, and Early Access

If Hemidi provides sandbox environments, test environments, previews, beta versions, preview versions, or early access, such environments or features may:

  • be unstable or incomplete;
  • be subject to limited support;
  • be changed or withdrawn at any time;
  • not include backward compatibility commitments, SLAs, standard retention, or production support, unless the applicable documentation expressly provides otherwise.

You must not use sandbox, preview, or early access environments for high-risk production environments unless Hemidi has clearly approved such use or the applicable documentation expressly permits it.

8. Data, Privacy, and Security

You may send, access, receive, or process data through the API only to the extent that you have all necessary rights, licenses, notices, and legal bases.

If you use the API to access or process personal data, confidential data, commercial data, or end-customer data, you must:

  • limit data to what is reasonably necessary for the integration purpose;
  • apply appropriate technical and organizational measures to protect such data;
  • comply with applicable law, the applicable documentation, and your contractual obligations;
  • not use data received through the API to train, fine-tune, or improve separate artificial intelligence models or product lines for separate commercialization, unless the applicable documentation expressly permits such use or the authorized party has expressly agreed.

9. Vulnerability Reporting and Security Incidents

If you discover a vulnerability, security deviation, serious abuse, or risk that may materially affect the Service, you must:

  • not exploit the vulnerability beyond what is reasonably necessary for verification;
  • not disclose the vulnerability publicly before giving Hemidi a reasonable opportunity to assess and remedy it;
  • report it through support@hemidi.com or another security contact point published by Hemidi on the Service.

Hemidi reserves the right to investigate, limit, or suspend your access rights if there are signs of abuse, safety risk, or a breach of these Terms.

10. Fees, Usage, and Technical Records

Use of APIs and developer resources may be subject to fees, rate limits, usage caps, credits, billing units, or other payment mechanisms in accordance with the pricing schedule, commercial documentation, dashboard, or Hemidi's Credit and Billing Unit Terms.

To the extent permitted by law, Hemidi's system logs, technical records, usage data, billing records, and payment records shall be the default basis for determining usage, unless you submit a complaint within a reasonable period and demonstrate a clear error.

11. Suspension and Termination

Hemidi reserves the right to, at its discretion, limit, disable, revoke, or suspend some or all API or developer platform access rights if:

  • you breach these Terms or other applicable documentation;
  • your use creates material legal, security, or operational risk;
  • you fail to make payment when due;
  • Hemidi receives a lawful request from a competent authority;
  • Hemidi determines that there has been abuse, unauthorized exploitation, unauthorized benchmarking, or competitive exploitation contrary to the applicable documentation.
