HEMIDI WEBSITE TERMS OF USE

1. Introduction

These Website Terms of Use ("Website Terms") govern your access to and use of the websites, landing pages, subdomains, microsites, documentation pages, demo pages, community pages, marketing pages, and other web resources operated or controlled by HEMIDI JOINT STOCK COMPANY ("Hemidi") (collectively, the "Website").

These Website Terms supplement and do not replace any other agreements that you may have entered into with or accepted from Hemidi, including but not limited to the consumer terms of service, commercial terms of service, enterprise contracts, order appendices, service-specific terms, privacy policy, cookie policy, public content and marketplace policy, or other Hemidi policies.

If you are both a Website visitor and a registered User of the Service, these Website Terms and the documentation governing the relevant Service may apply concurrently. In the event of any conflict, the document that is more specific to the relevant relationship shall prevail. For matters relating to personal data, cookies, public content, acceptable use obligations, or User listings, the documentation specifically applicable to that subject shall prevail to the extent applicable to such subject.

2. Acceptance of Terms

By accessing, browsing, viewing, downloading, interacting with forms, submitting contact information, accessing documentation, viewing demos, viewing public projects, or otherwise using the Website in any manner, you acknowledge that you have read, understood, and agree to be bound by these Website Terms.

If you do not agree to these Website Terms, you must cease using the Website immediately.

3. Scope of Website Content and Functionality

The Website may provide one or more of the following types of content or functionality:

  • introductory information about Hemidi and Hemidi's products;
  • technical documentation, API documentation, change logs, articles, and reference resources;
  • registration forms, demo request forms, contact forms, and application forms;
  • example libraries, showcases, galleries, community content, or public content;
  • links for application downloads, workspace access, integrations, or other services.

The fact that content, features, or products appear on the Website does not constitute a commitment that such content, features, or products will always be available, always supported, or provided under any specific commercial terms.

4. Limited Access Rights

Hemidi grants you a limited, non-exclusive, non-transferable, and revocable right to use the Website for informational purposes, product evaluation, and other lawful purposes consistent with these Website Terms.

You must not engage in any of the following conduct:

  • systematic copying, mirroring, automated scraping, or extraction of Website content by unauthorized automated means;
  • reverse engineering, scanning, unauthorized testing, or attempts to extract technical logic, protection mechanisms, or non-public data from the Website;
  • using content, examples, demos, displayed outputs on the Website, or other content belonging to Hemidi or designated by Hemidi as proprietary to train or improve competing artificial intelligence models without Hemidi's prior written consent;
  • interfering with the normal operation of the Website or circumventing access control measures;
  • removing or obscuring copyright notices, proprietary notices, or source-identifying indicators.

Hemidi reserves the right to, at its discretion, suspend or terminate, cancel, revoke, adjust, or temporarily lock Website access rights if Hemidi determines that you have breached these Website Terms, created risk to the system, or engaged in inappropriate conduct.

5. Website Content and Public Content

Unless Hemidi clearly provides otherwise, all content on the Website, including but not limited to text, images, designs, videos, interface templates, documentation, examples, demos, code snippets, artificial intelligence outputs, metadata, and other materials, is owned by Hemidi or Hemidi's licensors. This provision does not automatically apply to public content, community content, marketplace content, or content posted by Users or partners where such content is governed by separate applicable terms or policies.

Displaying content on the Website does not automatically grant you ownership rights, copying rights, redistribution rights, commercialization rights, or rights to create derivative works.

If the Website includes community areas, showcases, or project libraries, the fact that content is displayed publicly does not mean that such content may be freely used beyond the scope permitted by Hemidi or the relevant rights holder. For public content posted by Users or partners, the scope of access and reuse shall be determined in accordance with HEMIDI_PUBLIC_CONTENT_AND_MARKETPLACE_POLICY.md and the corresponding specifically applicable documentation.

The fact that public content or User listings appear on the Website does not by default mean that such content may be used to train, fine-tune, or improve competing artificial intelligence models or products, unless the applicable documentation expressly permits such use.

6. Information Submitted by You Through the Website

If you submit information through the Website, including contact requests, registration records, feedback, demos, application content, or business information, you represent that:

  • you have the lawful right to provide such information;
  • such information is lawful and does not infringe third-party rights;
  • Hemidi is entitled to process such information in order to respond to requests, evaluate cooperation opportunities, improve the Website, protect system security, and carry out the appropriate purposes stated in the Privacy Policy.

Hemidi has no confidentiality obligation with respect to information submitted through the Website unless there is a separate written confidentiality agreement.

The Website may contain links to third-party websites, resources, or services. Hemidi does not control and is not responsible for the content, terms of use, privacy policies, or activities of such websites, resources, or services.

Your access to third-party websites or services is entirely at your own discretion and risk.

8. Disclaimer

The Website is provided on an as-is and as-available basis from time to time. To the extent permitted by law, Hemidi does not warrant that the Website will always be accurate, complete, uninterrupted, error-free, secure, or suitable for your specific needs.

Content on the Website is for general informational purposes only and does not constitute legal advice, investment advice, service level commitments, security commitments, feature commitments, or binding offers unless expressly stated in another separately effective document.

9. Limitation of Liability

To the extent permitted by law, Hemidi shall not be liable for indirect damages, consequential damages, or similar losses arising out of or relating to your access to or use of the Website.

10. Changes and Termination

Hemidi reserves the right to, at its discretion, modify, change, limit, withdraw, or discontinue the Website or any part of the Website at any time without prior notice, unless otherwise required by applicable law.

Hemidi reserves the right to, at its discretion, suspend or terminate, cancel, revoke, adjust, or temporarily lock your Website access rights if Hemidi determines that you have breached these Website Terms, created risk to the system, or engaged in inappropriate conduct.

11. Governing Law and Contact

These Website Terms are governed by the laws of Vietnam, unless mandatory law provides otherwise.
