HEMIDI PARTNER AND PARTNER MARKETPLACE TERMS

1. Scope of Application

These Terms govern the participation of partners, service providers, implementers, integrators, collaborating experts, or vendors on Hemidi's partner marketplace or partner portal if Hemidi implements such models.

These Terms supplement Hemidi's Commercial Terms of Service and service-specific terms. If the partner has entered into a separate cooperation agreement or enterprise contract with Hemidi, such separate agreement shall prevail to the extent of any conflict.

2. Participation Requirements

Partners must:

  • be an individual or legal entity with proper legal standing under applicable law;
  • have sufficient rights, licenses, expertise, and capacity to provide the listed services;
  • provide accurate and up-to-date information in the registration profile;
  • maintain quality, security, and professional communication standards consistent with Hemidi's requirements.

Hemidi reserves the right to evaluate, reject, suspend, or terminate partner status based on its reasonable assessment.

3. Listing Content and Disclosures

Partners are responsible for the accuracy, legality, and non-misleading nature of the service descriptions, pricing, capabilities, qualifications, time commitments, and other information disclosed by the partner on the partner marketplace or partner portal.

Hemidi reserves the right to edit the display format of any listing, apply labels, impose limits, hide, or remove listing content if such content violates the terms, is misleading, poses legal risk, or is no longer consistent with operational policies.

4. Relationship Between Partners and Customers

Unless otherwise agreed in writing, Hemidi acts only as a connection platform or operator supporting the partner marketplace. A specific service contract between the partner and the end customer may be entered into directly between those parties or through a mechanism designated by Hemidi.

Hemidi is not, by default, the party responsible for performing all of the partner's professional obligations to the end customer.

5. Platform Fees and Revenue Sharing

Hemidi may charge listing fees, referral fees, platform fees, transaction fees, revenue-sharing percentages, or other fees relating to the partner marketplace or partner program. Such fees may be set out in a separate policy, partner dashboard, or cooperation agreement.

6. Standards of Conduct

Partners must not:

  • provide misleading information regarding capabilities, certifications, legal status, or project results;
  • use the partner marketplace for fraud, unauthorized diversion, unauthorized data collection, or evasion of platform fee obligations;
  • infringe the intellectual property rights, data, or trade secrets of Hemidi, customers, or third parties;
  • use resources, content, or data from the Hemidi platform to build competing products or train competing AI models without permission;
  • misrepresent that Hemidi has confirmed, certified, guaranteed, or reviewed their listing, services, integrations, or capabilities unless Hemidi has clearly published such statement;
  • use customer data, public data, or data from listings beyond the scope permitted by access rights, licenses, public configurations, or applicable documentation.

7. Data and Security

Partners may process customer data only to the extent necessary to provide the authorized services and must comply with applicable confidentiality, privacy, and data protection obligations.

If a partner accesses, receives, or processes personal data, confidential data, commercial data, or public data of Users through the partner marketplace, an integration, or Hemidi's referral mechanism, the partner must:

  • process data only within the scope permitted by the customer, User, or applicable documentation;
  • provide appropriate disclosure regarding the types of data accessed, the purpose of use, and any of its material subcontractors where required by applicable law or the partner marketplace mechanism;
  • not use such data to train, fine-tune, or improve separate artificial intelligence models or products for separate commercialization unless the authorized party has expressly agreed or the applicable documentation expressly permits such use.

8. Termination

Hemidi may terminate or suspend partner status if the partner breaches these Terms, violates the law, creates risk to Users, or adversely affects Hemidi's reputation, security, or operations.
