1. Scope of Application
These Terms apply when you access or use the services of HEMIDI JOINT STOCK COMPANY ("Hemidi") as an individual or as a User who has not entered into a separate enterprise contract with Hemidi. Such services may include websites, web applications, personal workspaces, artificial intelligence features, self-serve application programming interfaces (APIs), community features, the partner marketplace, and other related services provided by Hemidi to individual users.
If you use the services on behalf of an organization, use an enterprise account controlled by your organization's administrator, or use a service that references Hemidi's commercial terms, HEMIDI COMMERCIAL TERMS OF SERVICE shall prevail to the relevant extent.
2. Acceptance of Terms
By accessing, registering, logging in, uploading data, activating a trial, purchasing a plan, renewing a plan, accessing self-serve APIs, or otherwise using the Service in any manner, you acknowledge that you have read, understood, and agree to be bound by these Terms together with the Privacy Policy, Hemidi's Acceptable Use Policy, the Credit and Billing Unit Terms, the Service-Specific Terms, and other policies validly published or incorporated by Hemidi.
If you do not agree to these Terms, you must not access or use the Service.
3. Conditions of Use and Account
You must have full legal capacity under applicable law and be at least eighteen (18) years old, or older if the law where you reside requires a higher age of majority.
You must provide accurate, complete, and up-to-date registration information. You must not share login credentials, API keys, or authentication methods with others contrary to the configuration permitted by Hemidi. You are responsible for all activities arising from your account.
If you use an email address issued by an organization, Hemidi reserves the right to, at its discretion, associate your account with that organization's workspace or enterprise account if the product supports the relevant administrative mechanism and such association is consistent with the service design.
4. Right to Use the Service
Hemidi grants you a limited, non-exclusive, non-sublicensable, and revocable right to use the Service for lawful purposes in accordance with these Terms and the corresponding technical, commercial, quota, or service-plan limitations.
You must not engage in any of the following conduct:
- use the Service to violate the law or third-party rights;
- reverse engineer, extract, materially copy, or technically exploit the Service to build competing products;
- engage in automated collection, scanning, unauthorized testing, or use Hemidi's outputs to train competing artificial intelligence models without Hemidi's prior written consent;
- use the Service in high-risk contexts without appropriate independent review and approval procedures;
- circumvent or attempt to circumvent Hemidi's quotas, charging mechanisms, credits, billing units, safety mechanisms, or protective measures.
5. Inputs, Outputs, and User Content
You may submit data, scripts, text, images, source code, files, instructions, prompts, or other materials into the Service ("Input"). The Service may generate responses, source code, content, suggestions, documents, or other results ("Output"). As applicable, Input and Output are collectively referred to as "User Content."
You retain rights in Input that you lawfully have. To the extent permitted by law and subject to the service plan, product configuration, and applicable policies, Hemidi assigns to you Hemidi's rights, title, and interest, if any, in Output generated specifically for you.
You are responsible for ensuring that you have all necessary rights and legal bases to submit Input, permit Hemidi to process Input, and use Output.
You understand and agree that:
- Output may be inaccurate, incomplete, contain technical errors, or be unsuitable for your intended use;
- Output may not be unique, and Hemidi may generate the same or similar output for other users;
- you must review, adjust, test, and verify Output before using it or relying on it for any real-world decision.
6. How Hemidi Uses User Content
You grant Hemidi a non-exclusive, worldwide, royalty-free license to store, copy, process, transmit, display, analyze, debug, maintain, and perform other technical acts with respect to User Content to the extent necessary to:
- provide and maintain the Service;
- prevent fraud, abuse, incidents, and legal violations;
- support users, investigate complaints, and enforce terms;
- improve the quality of Hemidi's Service, features, and safety systems.
Unless Hemidi provides otherwise for a specific product, Hemidi may use User Content to improve features, orchestration quality, integration layers, safety mechanisms, and the corresponding product experience serving the same product group or related functionality. If a product provides an opt-out mechanism, enhanced privacy settings, or specifically applicable documentation limiting such use, those mechanisms or documentation shall prevail to the relevant extent. If a connected third-party AI provider has its own policies regarding the use of data to train, fine-tune, or improve its models, such processing is also subject to the relevant provider and applicable documentation. Hemidi does not use User Content for this purpose to independently build another model directly provided by Hemidi for commercialization as a separate new product line, unless there is notice or an appropriate lawful basis under applicable law.
Nothing in this Section limits Hemidi's right to use User Content for security, anti-abuse, harmful content detection, legal compliance, incident remediation, and safety assessment purposes.
7. Free Plans, Paid Plans, and Payment
Hemidi may provide free plans, trial plans, paid recurring plans on 30-day cycles, usage-based pricing, credits, or similar payment mechanisms. Feature scope, support level, commercial rights, workspace privacy level, quotas, and data export capability may vary by plan.
If your plan is configured for automatic renewal, you authorize Hemidi or Hemidi's payment service provider to charge the relevant fee for each 30-day cycle until you cancel in accordance with the applicable process.
All fees, refunds, credits, billing units, and payment adjustments shall be handled in accordance with the payment policies and applicable terms in effect at the time of the transaction.
The pricing schedule, charging rules, conversion rates, and deduction mechanisms published or applied by Hemidi at the time the transaction, billing cycle, or usage arises shall govern, unless there is a clear system error or another written agreement.
8. Third-Party Services
The Service may integrate with or interact with third-party services, including but not limited to payment gateways, artificial intelligence model providers, authentication providers, storage services, or other tools. Hemidi is not responsible for third-party services except to the extent required by mandatory law or separately committed in writing.
9. Intellectual Property
Hemidi and Hemidi's licensors own the Service, including the software, orchestration layer, interfaces, trademarks, documentation, system data, technical know-how, technical structure, and related intellectual property rights.
Except for the rights expressly granted in these Terms, nothing shall be construed as transferring to you any ownership rights in the Service.
If you submit feedback, suggestions, or ideas for improvement, Hemidi reserves the right to, at its discretion, use such materials without compensation to you, unless otherwise required by mandatory law.
10. Disclaimers and Limitation of Liability
The Service is provided on an as-is and as-available basis from time to time. To the extent permitted by law, Hemidi does not warrant that the Service will always be error-free, uninterrupted, or suitable for all of your particular purposes.
Hemidi does not warrant that the Service or Output will always be accurate, error-free, uninterrupted, free of malware, fit for a particular purpose, or meet all of your requirements.
To the extent permitted by law, Hemidi shall not be liable for indirect damages, consequential damages, loss of revenue, loss of data, loss of profits, or loss of opportunity arising from your use of or inability to use the Service.
Hemidi's aggregate liability for all claims arising out of or relating to these Terms shall not exceed the total amount actually paid by you to Hemidi in the twelve (12) months preceding the event giving rise to liability, or VND 2,000,000 if you have not paid any fees, whichever is higher, unless mandatory law provides otherwise.
Nothing in these Terms is intended to exclude or limit liability that may not be excluded or limited under applicable law.
11. Suspension and Termination
Hemidi reserves the right to, at its discretion, suspend or terminate, cancel, revoke, adjust, or temporarily lock your access to the Service if Hemidi reasonably determines that:
- you have breached these Terms;
- you create risk to the system, other Users, or Hemidi;
- you fail to make payment when due;
- law or a competent authority requires Hemidi to take such measure.
After termination becomes effective, your access rights may be disabled, and data may be deleted, disabled, or hidden in accordance with the Service's standard mechanisms, internal retention schedules, legal requirements, backup obligations, or security logs, and all due fees remain payable in full.
Provisions regarding outstanding fees, intellectual property, disclaimers, limitation of liability, dispute resolution, and other provisions which by their nature should survive shall continue in effect after termination.
12. Governing Law and Dispute Resolution
These Terms are governed by the laws of Vietnam, unless mandatory law provides otherwise.
The parties shall prioritize resolving disputes through good-faith negotiation. If a dispute is not resolved, it shall be submitted to the competent court in Vietnam, unless you and Hemidi have otherwise agreed in writing.
13. General Provisions and Contact Information
These Terms, together with the documents validly incorporated by reference, constitute the entire agreement between you and Hemidi relating to your use of the Service as an individual user.
